Welcome to WiiN Studio.

The terms “we,” “us,” and “our” refer to WiiN Studio LLC, doing business as WiiN Studio. WiiN Studio operates this store and website, including the information, content, features, tools, products, and services offered through it collectively, the “Services.”

Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced within them, describe your rights and responsibilities when accessing, browsing, purchasing from, or otherwise using the Services.

Please read these Terms of Service carefully. They include important information about your legal rights, warranty disclaimers, limitations of liability, custom-product requirements, and order policies.

Section 1 – Access and Account

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence. You also represent that you have provided any consent required for your minor dependents to use the Services through devices that you own, purchase, or manage.

To browse our store, create an account, or purchase products or services, you may be asked to provide information including your name, email address, billing information, payment information, shipping address, and customization details.

You represent and warrant that all information you provide is accurate, current, complete, and that you have all necessary rights and authorization to provide it.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

Section 2 – Our Products

We make reasonable efforts to accurately represent our products, materials, colors, sizes, finishes, and services within our online store.

However, colors and product appearance may differ slightly from what is shown on your screen due to device displays, lighting, photography, material differences, and individual device settings.

Many WiiN Studio products are handcrafted, personalized, made to order, laser engraved, laser cut, assembled, or 3D printed in small batches.

Because of the nature of these production methods and materials, products may display minor variations in:

• Color and color placement

• Material texture

• Surface finish

• Filament patterns

• Layer lines

• Wood grain

• Engraving depth or tone

• Tile or acrylic appearance

• Dimensions within reasonable production tolerances

• Placement of naturally occurring material features

Product photographs are representative examples. Minor variations between photographs and a completed item are normal and are not considered defects.

This is especially applicable to products created using wood, acrylic, ceramic tile, filament, natural materials, color-changing filament, multicolor filament, silk filament, or other materials whose appearance may vary between production runs.

Product descriptions, availability, prices, designs, materials, and specifications may be changed at any time without notice.

We reserve the right to discontinue products, refuse customization requests, or limit product quantities offered to any person, geographic area, or jurisdiction.

Section 3 – Orders

When you place an order, you are making an offer to purchase a product or service from WiiN Studio.

We reserve the right to accept, decline, limit, or cancel an order for reasons including:

• Product or material availability

• Pricing or listing errors

• Payment or billing issues

• Suspected fraud

• Production limitations

• Safety concerns

• Intellectual-property concerns

• Prohibited or inappropriate submitted content

• Incomplete customization information

• Orders that fall outside our production capabilities or guidelines

Your order is not considered accepted until payment has been successfully processed and WiiN Studio has confirmed or begun processing the order.

Please review your order, shipping address, product selection, customization details, spelling, dates, names, images, and quantities carefully before submitting it.

If we decline, modify, or cancel an order, we will attempt to contact you using the email address, billing information, shipping information, or telephone number provided with the order.

Returns, refunds, cancellations, and exchanges are governed by our Refund and Return Policy:

Unless otherwise agreed in writing, purchases may be used for personal, gift, business, promotional, or internal purposes. Products may not be resold, copied, reproduced, exported, or otherwise used in a manner that violates these Terms or the rights of another person or business.

Section 3.1 – Custom and Made-to-Order Products

Some WiiN Studio products are custom, personalized, or made to order.

These may include:

• Custom Photo Tiles or MemoryTiles

• Personalized keepsakes

• Custom laser engraving

• Custom laser cutting

• Engraved products

• Branded merchandise

• Custom signs or plaques

• 3D-printed products

• Small-batch product runs

• Products featuring submitted photos, names, dates, text, logos, artwork, designs, or special instructions

Customer-Submitted Information

Customers are responsible for providing complete and accurate customization information, including:

• Names

• Dates

• Spelling

• Text

• Image selections

• Colors

• Sizes

• Quantities

• Placement instructions

• Logos

• Artwork

• Special requests

WiiN Studio is not responsible for errors contained in information submitted or approved by the customer once production has begun.

We may contact the customer if clarification, replacement files, improved photos, or additional information is required.

Production timelines may be delayed if required information is missing, unclear, unusable, or not provided promptly.

When Production Begins

Production may begin after the required payment, photos, text, customization information, and necessary clarifications have been received.

Production may include any of the following:

• Reviewing submitted photos or artwork

• Preparing or editing images

• Creating or adjusting layouts

• Preparing production files

• Test engraving, cutting, or printing

• Preparing materials

• Engraving

• Laser cutting

• 3D printing

• Assembly

• Finishing

• Quality inspection

• Packaging

Custom and personalized items become final sale once production has begun.

Cancellation requests may be submitted before production begins. Once production has started, cancellation or a full refund may no longer be available except where required by law or when an item arrives damaged, defective, or incorrect.

Production and Shipping Time

Production time is separate from carrier shipping and delivery time.

Unless otherwise stated on the applicable product page:

• Most standard and custom products are generally prepared for shipment within 2–3 business days.

• Large 10 × 14 Custom Photo Tiles generally require 3–5 business days before shipment.

• More complex, high-quantity, prototype, branded-merchandise, or small-batch orders may require additional time.

These are processing estimates and are not guaranteed completion dates.

Delivery estimates shown at checkout generally reflect the carrier’s expected transit time after the order has been completed and transferred to the carrier.

Photo and Artwork Quality

The quality of a completed custom product depends on the quality, resolution, lighting, contrast, composition, cropping, and clarity of the submitted image or artwork.

Blurry, dark, heavily compressed, cropped, pixelated, low-resolution, or screenshot images may produce reduced detail or clarity.

If a submitted image is unsuitable for production, we may request a replacement image or clarification. If the customer chooses to proceed with an image after being advised of possible quality limitations, the resulting limitations are not considered a manufacturing defect.

Intellectual-Property Rights

By submitting a photo, logo, artwork, design, name, text, or other material, you represent and warrant that:

• You own the submitted content or have received all necessary rights, licenses, permissions, and authorizations to use it.

• You have the authority to authorize WiiN Studio to reproduce the content for your order.

• The content does not violate copyrights, trademarks, privacy rights, publicity rights, contractual rights, or other rights belonging to another person or entity.

• The content does not violate applicable law.

You grant WiiN Studio a limited right to use submitted content only as reasonably necessary to review, create, produce, communicate about, and fulfill your order.

Unless you provide proper authorization or ownership documentation, WiiN Studio will not knowingly reproduce copyrighted characters, trading cards, fan art, licensed artwork, company logos, trademarks, brand identities, protected designs, or other third-party intellectual property.

We reserve the right to refuse, cancel, or discontinue any order that we reasonably believe may violate intellectual-property rights, applicable laws, platform requirements, or our internal production guidelines.

Section 4 – Prices and Billing

Prices, discounts, product availability, and promotions may change without notice.

The price charged will generally be the price displayed when the order is placed and shown in the order confirmation.

Unless otherwise stated, displayed prices do not include applicable taxes, shipping charges, handling charges, customs duties, import fees, or other government or carrier charges.

Prices displayed through our online store may differ from prices offered through physical events, marketplaces, wholesale arrangements, custom quotations, third-party platforms, or other sales channels.

Promotions may be governed by separate terms. If promotion-specific terms conflict with these Terms, the promotion-specific terms will apply to that promotion.

You agree to provide complete, current, and accurate billing, payment, shipping, and account information.

You agree to promptly update information necessary for us to complete your transaction or contact you.

You represent and warrant that:

• Payment information submitted by you is accurate.

• You are authorized to use the selected payment method.

• Charges incurred through your order will be honored by the payment provider.

• You will pay all applicable product prices, taxes, shipping charges, and other disclosed charges.

Section 5 – Shipping and Delivery

Production and processing times are separate from carrier transit times.

All processing, shipping, and delivery dates are estimates and are not guaranteed unless expressly stated in writing.

We are not responsible for delays caused by circumstances outside our reasonable control, including:

• Shipping carriers

• Weather

• Natural disasters

• Transportation interruptions

• Customs processing

• Incorrect or incomplete addresses

• Security inspections

• Labor disruptions

• Government actions

• High seasonal demand

• Events affecting material availability

Customers are responsible for providing a complete and accurate shipping address.

If an order is returned because an incorrect, incomplete, or undeliverable address was provided, the customer may be responsible for additional shipping charges before the order is resent.

Once an order has been transferred to the carrier, tracking and delivery are primarily controlled by that carrier. However, customers should contact WiiN Studio if an order appears lost, damaged, incorrectly delivered, or substantially delayed so that we can review the situation and assist when reasonably possible.

Customers should not discard damaged items, packaging, or shipping labels before a claim has been reviewed.

Section 6 – Intellectual Property

The Services, including the website’s text, graphics, photographs, videos, audio, branding, logos, product descriptions, layouts, original designs, and the arrangement of those materials, are owned by or licensed to WiiN Studio and are protected by applicable intellectual-property laws.

These Terms permit you to use the Services for personal, lawful, and non-commercial browsing and purchasing purposes.

Without prior written permission, you may not:

• Reproduce

• Republish

• Distribute

• Modify

• Sell

• License

• Create derivative works from

• Publicly display

• Publicly perform

• Download for commercial use

• Store for unauthorized reuse

• Transmit

any protected portion of the Services.

Nothing in these Terms grants you ownership of or a license to WiiN Studio’s trademarks, branding, content, original product designs, copyrighted materials, Shopify materials, or third-party intellectual property except as expressly stated.

WiiN Studio’s names, logos, product names, service names, original designs, and slogans may be trademarks or protected materials belonging to WiiN Studio or its licensors. They may not be used without prior written authorization.

Shopify’s name, logos, product names, service names, designs, and slogans belong to Shopify or its licensors.

All other names, logos, product names, service names, artwork, and trademarks belong to their respective owners.

Section 7 – Optional Tools

The Services may provide access to tools, integrations, applications, or features offered by third parties.

We may not monitor, control, or have input into the operation of those third-party tools.

Access to third-party tools may be provided “as is” and “as available,” without warranties, representations, endorsements, or conditions from WiiN Studio.

Your use of optional third-party tools is at your own discretion and risk. You are responsible for reviewing and accepting the terms and policies provided by the applicable third party.

New tools, resources, integrations, and features offered through the Services may also be subject to these Terms.

Section 8 – Third-Party Links

The Services may contain links, embedded content, applications, materials, or functionality provided by third parties.

We are not responsible for evaluating or guaranteeing the accuracy, availability, security, legality, or quality of third-party websites, products, services, or materials.

Accessing a third-party website or service is at your own discretion and risk.

We are not liable for loss or damage arising from your use of, reliance upon, or purchases through third-party websites or services.

Before completing a transaction with a third party, you should review that party’s terms, policies, and practices.

Questions or complaints concerning third-party products or services should be directed to the applicable third party.

Section 9 – Relationship With Shopify

WiiN Studio’s store is powered by Shopify, which provides technology that enables us to offer the Services.

However, purchases made from WiiN Studio are transactions directly between the customer and WiiN Studio.

Shopify is not the seller of WiiN Studio products and is not responsible for the manufacturing, customization, quality, delivery, repair, replacement, or refund of products purchased from WiiN Studio.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising directly from your purchases and transactions with WiiN Studio.

Section 10 – Privacy Policy

Personal information collected through the Services is handled in accordance with our Privacy Policy:

Certain personal information may also be processed by Shopify in accordance with Shopify’s applicable privacy policies.

Because the Services are hosted by Shopify, Shopify may collect and process information relating to your access to and use of the Services to provide, secure, maintain, and improve Shopify’s services.

Information submitted through the Services may be transmitted to Shopify and other service providers that assist with payments, website hosting, analytics, shipping, communications, fraud prevention, order fulfillment, and store operations.

These providers may operate in countries outside the jurisdiction where you reside.

By using the Services, you acknowledge that you have reviewed our Privacy Policy and understand that information may be processed as described within it.

Section 11 – Feedback, Reviews, and Customer Content

If you submit, upload, publish, email, post, or otherwise provide ideas, suggestions, reviews, testimonials, photographs, videos, feedback, proposals, or other content collectively, “Feedback,” you represent that you have the right to provide that content.

Unless otherwise agreed in writing, you grant WiiN Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, format, publish, display, distribute, and share Feedback for purposes including:

• Operating and improving the Services

• Customer support

• Marketing

• Advertising

• Social-media content

• Product listings

• Website content

• Business promotion

This license does not transfer ownership of your original content to WiiN Studio.

You represent and warrant that:

• You own or control the necessary rights to the Feedback.

• The Feedback is accurate to the best of your knowledge.

• You will disclose any compensation or incentive associated with the Feedback.

• The Feedback does not violate another party’s rights.

• The Feedback does not contain unlawful, abusive, threatening, obscene, defamatory, misleading, or malicious material.

• The Feedback does not contain viruses, malware, or harmful code.

We are not required to:

• Keep Feedback confidential

• Pay compensation for Feedback

• Publish Feedback

• Retain Feedback

• Respond to Feedback

We may monitor, edit, refuse, or remove Feedback that we reasonably determine violates these Terms, applicable laws, platform policies, or another party’s rights.

You may not use a false identity or misleading email address, impersonate another person, or misrepresent the source of Feedback.

Section 12 – Errors, Inaccuracies, and Omissions

Information within the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to:

• Product descriptions

• Product images

• Dimensions

• Materials

• Pricing

• Promotions

• Availability

• Shipping charges

• Production estimates

• Transit estimates

We reserve the right to correct errors, update information, modify listings, or cancel affected orders when information is materially inaccurate, including after an order has been submitted.

If a material error affects an order, we will attempt to contact the customer using the information provided with the order.

Section 13 – Prohibited Uses

You may access and use the Services only for lawful purposes.

You may not use the Services directly or indirectly:

• For an unlawful, fraudulent, abusive, or malicious purpose

• To violate international, federal, state, provincial, or local laws

• To infringe our intellectual-property rights or the rights of another person

• To harass, threaten, abuse, defame, intimidate, or harm another person

• To submit false, fraudulent, or misleading information

• To transmit material that violates these Terms

• To distribute spam, chain letters, junk mail, or unauthorized solicitations

• To impersonate another person or organization

• To interfere with another person’s use of the Services

• To conduct activity that may expose WiiN Studio, Shopify, our customers, or service providers to liability

You also agree not to:

• Upload viruses, malicious code, or harmful software

• Reproduce, duplicate, extract, sell, resell, or exploit unauthorized portions of the Services

• Collect or track another person’s personal information without authorization

• Phish, pharm, scrape, spam, or pretext the Services

• Circumvent security, authorization, access-control, or robot-exclusion measures

• Use automated tools in a way that damages, overloads, disrupts, or unlawfully extracts information from the Services

We reserve the right to suspend, restrict, disable, or terminate access to the Services if we reasonably determine that these Terms have been violated.

Section 14 – Automated Agents

This section applies if you use or permit an automated or semi-automated software service, system, or agent to access or interact with the Services.

An “Agent” means software or a service that takes automated or semi-automated action on behalf of, or at the instruction of, a person or organization.

Agents may not access or interact with the Services in a manner that:

• Conceals that the interaction is automated

• Attempts to imitate human behavior to bypass restrictions

• Circumvents CAPTCHAs or access-control measures

• Ignores a request to stop accessing the Services

• Interferes with the availability, security, or operation of the Services

• Violates these Terms or applicable law

We may use technical or administrative measures to restrict or prevent automated access.

Section 15 – Termination

We may suspend or terminate your account or access to all or part of the Services if:

• You violate these Terms

• You misuse the Services

• Your activity creates security, fraud, legal, or operational concerns

• We discontinue the applicable Services

You remain responsible for amounts owed before termination.

Sections that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, Feedback, disclaimers, limitations of liability, indemnification, governing law, privacy, and payment obligations.

Section 16 – Disclaimer of Warranties

Information presented through the Services is provided for general informational purposes.

We do not guarantee that all information will always be complete, current, accurate, uninterrupted, secure, or error-free.

Reliance on information provided through the Services is at your own discretion and risk.

Except where expressly stated by WiiN Studio or required by applicable law, the Services and products offered through them are provided “as is” and “as available,” without warranties or conditions of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim implied warranties including merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, portions of this disclaimer may not apply.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

Section 17 – Limitation of Liability

To the fullest extent permitted by law, WiiN Studio and its owners, partners, directors, officers, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages arising from your use of the Services or products purchased through them.

This may include loss of profits, revenue, savings, business opportunities, data, or replacement costs, whether a claim arises under contract, negligence, strict liability, or another legal theory.

Some jurisdictions do not allow certain limitations or exclusions of liability. In those jurisdictions, our liability will be limited only to the maximum extent permitted by law.

Nothing in these Terms limits liability that cannot legally be limited.

Section 18 – Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless WiiN Studio, Shopify, and our respective affiliates, owners, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising from:

• Your breach of these Terms

• Your violation of applicable law

• Your violation of another party’s rights

• Content, photos, artwork, logos, or other materials submitted by you

• Your misuse of the Services

We will provide reasonable notice of an indemnifiable claim when practicable.

You agree to reasonably cooperate in the defense of such claims.

Section 19 – Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will remain valid and enforceable.

Section 20 – Waiver and Entire Agreement

Our failure to exercise or enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

These Terms, together with the policies and operating rules posted through the Services, constitute the entire agreement between you and WiiN Studio regarding your use of the Services.

They replace prior or contemporaneous communications, proposals, or agreements concerning the same subject matter.

Any ambiguity in these Terms will not automatically be interpreted against the party that drafted them.

Section 21 – Assignment

You may not transfer, delegate, or assign these Terms or your rights and obligations under them without our prior written consent.

Any attempted unauthorized assignment may be void.

We may assign or transfer these Terms and our rights or obligations as permitted by law, including in connection with a business transfer, restructuring, acquisition, or sale.

Section 22 – Governing Law

These Terms and any separate agreement through which WiiN Studio provides Services will be governed by and interpreted under the laws of the State of Nevada, United States, without regard to conflict-of-law principles.

Nothing in this section deprives a consumer of mandatory protections available under applicable law.

Section 23 – Headings

Section titles and headings are included for convenience and organization only. They do not limit or otherwise affect the interpretation of these Terms.

Section 24 – Changes to These Terms

The current version of these Terms may be reviewed on this page at any time.

We reserve the right to update, modify, or replace portions of these Terms by publishing an updated version through the website.

Material changes will become effective on the date stated in the applicable notice or updated Terms.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those changes to the extent permitted by law.
